Welcome to Viona. These Terms of Service govern your access to and use of the Viona platform, including our website, applications, and AI-powered video editing services. By creating an account or using our services, you agree to be bound by these terms. If you do not agree to these terms, please do not use our services.

Service Description

Viona is an AI-powered video editing platform that transforms talking-head videos into visually-rich content. Our services include automatic transcription with word-level accuracy, AI-generated contextual visuals such as charts, diagrams, and flowcharts, customizable subtitle styling, filler word removal, and video export in multiple formats and resolutions. We continuously improve and update our platform, and features may be added, modified, or removed at our discretion. We will make reasonable efforts to notify users of significant changes that affect their workflow.

User Accounts

To access most features of Viona, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe have been compromised. You must be at least 16 years old to create an account and use our services.

Acceptable Use

You agree to use Viona only for lawful purposes and in accordance with these terms. You may not:

• Upload content that infringes on the intellectual property rights of others
• Upload or generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to reverse engineer, decompile, or disassemble any part of our platform
• Use automated scripts or bots to access our services without prior written consent
• Interfere with or disrupt the integrity or performance of our platform
• Resell, redistribute, or sublicense access to Viona without our authorization
• Use the service to generate misleading or deceptive content, including deepfakes intended to deceive

We reserve the right to remove content and suspend accounts that violate these guidelines without prior notice.

Intellectual Property

You retain full ownership of the video content you upload to Viona and the finished videos you export from our platform. By uploading content, you grant us a limited, non-exclusive license to process, store, and transform your content solely for the purpose of providing our services to you. The Viona platform itself, including our AI models, algorithms, software, branding, templates, and generated visual assets, remains the intellectual property of Viona. You may use AI-generated visuals within your exported videos for any commercial or personal purpose, but you may not extract, redistribute, or resell the visual assets independently outside of your video content.

Limitation of Liability

Viona is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, accuracy, or availability of our services. To the maximum extent permitted by applicable law, Viona shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services. This includes, but is not limited to, loss of data, loss of revenue, or interruption of business. Our total liability for any claims arising under these terms shall not exceed the amount you have paid to us in the twelve months preceding the claim. Nothing in these terms excludes or limits liability that cannot be lawfully excluded or limited.

Termination

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the service will cease immediately. We will delete your account data and video content within 30 days of termination, unless we are required to retain it for legal reasons. We may also terminate or suspend your access to our services at any time, with or without cause, if we determine that you have violated these terms. If we terminate your account due to a violation, you will not be entitled to a refund of any prepaid fees. We may also discontinue the service entirely with 30 days notice to active users.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or through a prominent notice on our platform. Your continued use of Viona after any changes constitutes your acceptance of the revised terms. If you do not agree to the updated terms, you should stop using our services and close your account.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Viona operates, without regard to conflict of law principles. Any disputes arising from or relating to these terms or your use of our services shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless you are located in a jurisdiction where arbitration agreements are not enforceable, in which case the courts of competent jurisdiction shall have exclusive authority.
